Platform Operating Agreement.

Expedition Blanche provides institutional infrastructure for elite wedding planners and event agencies. By accessing our platform, agencies, their invited clients, and participating vendors agree to adhere to our strict codes of operational conduct, financial transparency, and platform integrity. The following Terms of Service outline the legal framework governing the use of our software, the management of client ledgers, and the facilitation of event workflows.

By creating an account, accepting a planner's invitation code, or otherwise accessing the platform, you agree to be bound by this Agreement. Agency access is granted by application and subscription. You confirm you are authorized to bind the agency, firm, or household on whose behalf you act, and that all registration information is accurate and current.

Accounts are personal and non-transferable. Agency subscriptions include a defined number of active client portals (or ledgers); exceeding that allocation requires a tier upgrade. You are responsible for all activity under your credentials and for the confidentiality of any access or invite code issued by or to you. Notify us immediately of suspected unauthorized use.

The platform may be used solely for the planning, administration, and financial management of events you are engaged to deliver. You must not scrape or redistribute platform data; reverse engineer the software; circumvent access controls; upload unlawful or infringing material; or use the platform for unauthorized commercial solicitation outside your intended client engagements.

Vendors are independent third parties. Expedition Blanche facilitates budget allocation, proposal standardization, and payment scheduling, but is not a party to the resulting service contract between a client or agency and a vendor. We do not warrant vendor performance, pricing, licensing, or insurance, whether the vendor was sourced through our network or onboarded independently by the agency.

Agency subscription fees are disclosed in-product and billed according to your selected tier of active client portals. Where the platform facilitates automated payment schedules between clients and vendors, payments are settled against milestones defined by the agency. Standard third-party payment gateway fees may apply. Chargebacks, reversals, or disputes may result in suspension of settlement until resolved. Except where required by law, software subscription fees already earned are non-refundable.

Approvals, signatures, and audit entries recorded in the platform are intended to be binding electronic records. You agree that such records may be used as evidence of consent and that you will not contest their validity solely because they were created electronically.

You retain ownership of the content you upload and grant us a limited license to host, process, and display it for the purpose of operating the platform. Each party must keep the other's confidential information in confidence and use it only as necessary to perform under this Agreement. Our handling of personal data is described in the Privacy Policy.

We aim for continuous availability but do not warrant uninterrupted service. Planned maintenance is communicated where practicable. Support is provided through the channels associated with your subscription tier; enterprise accounts may receive a named relationship manager.

The platform, its interfaces, documentation, and underlying software remain the exclusive property of Expedition Blanche. White-label configuration permits the display of your agency's marks within your client portals; it grants no ownership of, or rights to, the underlying software.

We may suspend or terminate access for breach of this Agreement, non-payment, or conduct that threatens platform integrity or the safety of other users. You may terminate at any time; termination does not relieve either party of obligations accrued before the termination date. Upon termination, you may export your records for a reasonable period.

Except as expressly stated, the platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and our aggregate liability is limited to the subscription fees paid to us in the twelve months preceding the claim.

You agree to indemnify Expedition Blanche against claims arising from your use of the platform in breach of this Agreement, your content, or your engagements with clients and vendors.

We may amend this Agreement to reflect changes in the service or applicable law. Material changes will be notified in-product or by email before taking effect; continued use after the effective date constitutes acceptance.

This Agreement is governed by the laws of the jurisdiction stated in your order form, and the parties submit to the exclusive jurisdiction of its courts. Questions regarding these terms may be directed to admin@expeditionblanche.com.
